Terms of Service

These terms govern your use of our website and any services you engage The Desdistrict to perform. Please read them carefully.

Acceptance

By accessing this website or commissioning any service from The Desdistrict Limited, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you should discontinue use of this website immediately.

We reserve the right to revise these terms at any time. Continued use of the website after changes are published constitutes your acceptance of the revised terms.

Services

The Desdistrict Limited is a digital design and web development agency based in Lagos, Nigeria. Our services include brand identity design, UI/UX design, web development, and ongoing digital maintenance.

All service engagements are governed by a separate project agreement or statement of work signed between both parties. In the event of a conflict between that agreement and these terms, the project agreement takes precedence.

We reserve the right to decline any project enquiry at our discretion without obligation to provide a reason.

Intellectual Property

All content on this website — including design, copy, graphics, code, and branding — is the intellectual property of The Desdistrict Limited unless otherwise stated, and is protected under applicable Nigerian and international copyright law.

Upon full settlement of all applicable fees, ownership of client-specific deliverables transfers to the client as defined in the project agreement. General-purpose frameworks, libraries, and tooling developed or used during a project remain the property of The Desdistrict unless explicitly agreed otherwise.

You may not reproduce, redistribute, or repurpose any part of this website without prior written consent.

Payment & Fees

All fees are quoted in Nigerian Naira (₦) unless a separate currency is agreed in writing. Project engagements typically require a deposit before work commences, with the balance structured as defined in the project agreement.

Invoices not settled within the agreed period may attract a late payment charge of 2% per month on the outstanding balance. We reserve the right to pause or terminate active work on any project where payment is overdue.

Refunds are only applicable where a project has not commenced and a written refund request is received within 7 days of the deposit payment.

Confidentiality

Both parties agree to treat as confidential any proprietary information, business data, or strategic plans shared during the course of a project engagement. Neither party will disclose such information to third parties without prior written consent, except where required by law.

This obligation survives the termination of any project agreement.

Limitation of Liability

To the maximum extent permitted by law, The Desdistrict Limited shall not be liable for any indirect, incidental, or consequential damages arising from your use of this website or from any project engagement.

Our total liability in connection with any project engagement shall not exceed the total fees paid by the client under the relevant project agreement.

We make no warranty that this website will be uninterrupted, error-free, or free of harmful components.

Governing Law

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Lagos State.

Modifications

We may update these terms from time to time. The effective date at the top of this page reflects the most recent revision. We encourage you to review this page periodically. Material changes will be communicated where reasonably practicable.
